1. Introduction and Acceptance

Welcome to Kali.J Design, doing business as "The Toy Showroom" ("The Toy Showroom," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our websites located at kalijdesign.com, consignment.kalijdesign.com, and sell.kalijdesign.com (collectively, the "Sites"), as well as our consignment services, outright buyout services, text-message communications, and any related services we provide (collectively, the "Services").

By using our Sites, submitting an item for consignment or buyout, submitting photos or other content to us, communicating with us by text message, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

You represent that you are at least 18 years old and have the legal authority to enter into these Terms.


2. Description of Services

The Toy Showroom provides two primary services for collectibles, toys, and related items:

2.1 Consignment

Under our consignment service, you ("Consignor") deliver your items to us, and we sell them on your behalf as your selling agent across our sales channels, which may include our weekly online auctions (including EstateSales.org), eBay, Amazon, Walmart Marketplace, Poshmark, Depop, Mercari, Whatnot live sales, Shopify, and in-person sales.

Title and ownership. Legal title to and ownership of consigned items remain with the Consignor at all times until the item is sold to an end buyer. The Toy Showroom holds consigned items solely as bailee and as the Consignor's agent for the limited purpose of sale. Title passes directly from the Consignor to the end buyer at the time of sale.

Key consignment terms (the complete and controlling terms are set out in your signed Consignment Agreement):

The Consignment Agreement controls. These Terms summarize our consignment service for general information. The specific, legally binding terms of any consignment are governed by the separate written Consignment Agreement you sign at drop-off. If there is any conflict between these Terms and your signed Consignment Agreement, the Consignment Agreement controls for that consignment.

2.2 Outright Buyout

Under our outright buyout service, we purchase eligible items from you directly for cash. When we extend a buyout offer, it is provided as a coded cash offer that is valid for twenty-four (24) hours from the time it is issued, after which it automatically expires unless we confirm otherwise in writing. Upon completion of a buyout, ownership of the item transfers to The Toy Showroom.

2.3 Your Representations Regarding Items

By submitting any item for consignment or buyout, you represent and warrant that you are the lawful owner of the item (or are authorized to sell it), that you have good and clean title to it, that it is authentic and not counterfeit, and that selling it does not violate any law or any third party's rights.


3. Quotes and Offers Are Non-Binding Estimates

Any quote, valuation, price estimate, or preliminary offer we provide — whether by text message, email, our Sites, or in person — is a non-binding estimate only and is provided for informational purposes. Quotes and estimates do not create a binding obligation on either party.

A binding transaction is formed only when:

We reserve the right to revise or withdraw any quote or estimate at any time before a binding transaction is formed, including after inspecting an item in person and assessing its actual condition, authenticity, and market value.


4. User-Submitted Photos and Content

To request a quote or use our Services, you may submit photographs, descriptions, and other content relating to your items ("User Content"), including through uploads at sell.kalijdesign.com or by text message.

License to us. By submitting User Content, you grant The Toy Showroom a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and display that User Content for purposes related to operating, marketing, and promoting our Services and to list, advertise, and sell items (including across the third-party sales channels listed above). This license continues as needed for these purposes even after a particular transaction ends.

Your responsibility. You represent and warrant that you own or have all necessary rights to the User Content you submit, and that our use of it as described will not infringe or violate the rights of any third party. You are solely responsible for the User Content you provide.

We may, but are not obligated to, remove or decline to use any User Content at our discretion.


5. Text-Message (SMS) Communications, Consent, and Opt-Out

Consent. By providing your mobile phone number and opting in, you expressly consent to receive text (SMS/MMS) messages from The Toy Showroom at that number, including messages sent using an automatic telephone dialing system or similar technology, relating to quotes, offers, your items, transactions, and service updates. Consent to receive marketing or promotional text messages is not a condition of purchasing any goods or services from us.

Message frequency and rates. Message frequency varies. Message and data rates may apply according to your mobile carrier plan. We are not responsible for charges imposed by your carrier.

Opt-out. You can cancel text messages at any time by replying STOP to any message you receive from us. After you reply STOP, we will send a one-time confirmation that you have been unsubscribed, and you will no longer receive text messages from us unless you opt back in. For help, reply HELP or contact us using the information below.

Carrier disclaimer. Mobile carriers are not liable for delayed or undelivered messages. We make no guarantee that messages will be delivered.

Our text-messaging practices are intended to comply with the federal Telephone Consumer Protection Act (TCPA) and applicable law. Your communications with us by text message are also subject to our Privacy Policy.


6. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR SITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We expressly disclaim all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that any estimate or valuation will reflect the actual sale price an item achieves, or that any consigned item will sell. Any valuation, estimate, or projected outcome we provide is an opinion, not a guarantee.

Nothing in these Terms limits any non-waivable rights you may have under California or other applicable law.


7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE TOY SHOWROOM, KALI.J DESIGN, OR ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, whether incurred directly or indirectly, arising out of or relating to your use of (or inability to use) the Sites or Services, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total cumulative liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amount of fees you actually paid to us in connection with the specific transaction giving rise to the claim, or (b) one hundred dollars ($100).

The risk of loss, damage, insurance responsibility, and care of consigned items while in our custody are governed by your signed Consignment Agreement. Some jurisdictions, including California, do not allow certain limitations of liability, so some of the above limitations may not apply to you. Nothing in these Terms excludes liability that cannot be excluded under applicable law.


8. Indemnification

You agree to indemnify, defend, and hold harmless The Toy Showroom, Kali.J Design, and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) any item you submit for consignment or buyout, including any claim that you did not have clear title or that the item is counterfeit, stolen, or infringing; or (c) any User Content you submit.


9. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Informal resolution first. Before filing any claim, you agree to contact us using the information below and to attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Venue. Subject to any applicable law providing otherwise, you and The Toy Showroom agree that the exclusive jurisdiction and venue for any dispute that proceeds in court shall be the state or federal courts located in or serving San Bernardino County, California, and you consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking relief in a small claims court for disputes within that court's jurisdiction. This section does not waive any rights you have under applicable California consumer-protection law that cannot be waived by agreement.


10. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will revise the "Effective Date" above and post the updated Terms on our Sites. Changes are effective when posted. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.


11. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with any signed Consignment Agreement and our Privacy Policy, constitute the entire agreement between you and The Toy Showroom regarding the Services.

These Terms and Conditions are provided for general informational purposes and do not constitute legal advice. The Toy Showroom recommends that consumers review the separate Consignment Agreement and Privacy Policy. This document should be reviewed by a licensed California attorney before publication to confirm compliance with all applicable laws, including California secondhand dealer licensing and reporting requirements, sales-tax obligations, and consumer-protection statutes.


Ownership, Identity & Anti-Stolen-Goods Protections

Ownership and right to sell. By offering any item to us for outright purchase or for consignment (each, an "Item"), you represent and warrant, at the time you offer it and at transfer, that: (1) you are the sole lawful owner, or are authorized in writing by the owner, with full right and authority to transfer it; (2) you hold clear, marketable title, free of any lien, security interest, claim, lease, financing, layaway, or unpaid balance; (3) the Item was lawfully acquired and is not stolen, embezzled, obtained by fraud, or subject to any ownership claim; (4) the Item is authentic and not counterfeit, pirated, or infringing, and is accurately described; (5) the Item is not subject to any recall, stop-sale, or import/export restriction, and its sale violates no law or third-party right; and (6) all information you provide is true and complete. These warranties are a material condition of any offer or agreement and survive completion of the transaction.

Identity verification & proof of ownership. As a condition of any purchase or consignment, we may require you to present valid, unexpired government-issued photo identification and permit us to record and retain the identifying information shown on it; sign a written Ownership Attestation affirming the above under penalty of perjury under California law; and provide reasonable proof of lawful ownership (such as a receipt or order confirmation). Verification may be performed in person or remotely. If you decline to provide requested identification, attestation, or proof of ownership, we may decline the transaction.

Our rights to refuse, hold, inspect, and rescind. We may, in our sole discretion and without liability: refuse to purchase, consign, list, or sell any Item for any lawful reason; inspect, authenticate, test, and research any Item, including checking serial numbers and stolen-property databases; hold any Item and withhold payment for any period required by law or reasonably necessary to verify ownership, authenticity, or legal status; and rescind or void any offer, purchase, or consignment — even after payment or transfer — if we determine or reasonably suspect any representation above is untrue or that the Item may be stolen, counterfeit, recalled, or unlawful. If we rescind a completed purchase on these grounds, you agree to promptly return any funds paid, and we will, where lawful and practical, return the Item, except any Item we must surrender to or hold for law enforcement.

Reporting & law-enforcement cooperation. We comply with all applicable secondhand-dealer, reporting, holding-period, and recordkeeping laws. You agree that we may, without notice and without liability, report transactions and Item and seller information to law enforcement and to any electronic reporting system required by law (including, where applicable, the California Pawn & Secondhand Dealer System, CAPSS); retain identifying and transaction records for the periods required by law; hold an Item for the minimum legally required period before resale; and surrender any Item and records to law enforcement where we reasonably suspect it is connected to unlawful activity. You waive any claim arising from our good-faith compliance with this section.

Your indemnification. You agree to indemnify, defend, and hold harmless Kali.J Design (DBA "The Toy Showroom"), its owners, officers, employees, and agents from any claims, losses, liabilities, fines, penalties, and expenses (including reasonable attorneys' fees) arising from any breach of your representations above; any claim that an Item was stolen, counterfeit, recalled, encumbered, or unlawfully sold or consigned; any third-party ownership claim; or your violation of these Terms or any law. This survives completion or rescission of any transaction.


About Our Outright Buyout Service

Through our Buyout service, we make offers to purchase items that you lawfully own and have the clear, lawful right to sell. We prioritize new, sealed, in-box merchandise, and also purchase pre-owned items at our discretion. For any purchase we may require valid government-issued identification, a signed ownership attestation, and reasonable proof of lawful ownership. We comply with all applicable secondhand-dealer, reporting, holding-period, and recordkeeping laws, and certain items may be subject to a mandatory holding period before resale.

Offer validity. Purchase offers are quoted as coded offers valid only for the stated period (generally 24 hours) and only for the specific Item(s) inspected and described. An offer is not a binding agreement to purchase until we have (a) verified your identity and ownership where required, (b) taken possession of and confirmed the Item's condition and authenticity, and (c) issued payment. We may revise or withdraw an offer if the Item differs from its description or if any condition above is not met.

Sourcing of new merchandise. A substantial portion of our new, sealed inventory is acquired directly from bona fide manufacturers, distributors, and wholesalers, and we retain proof of purchase for such inventory. Items we purchase from members of the public are handled in accordance with applicable secondhand-dealer laws, including identification, recordkeeping, reporting, and holding-period requirements where those laws apply.


Your Agreement & Acceptance

By checking the acceptance box, creating an account, submitting an Item, or accepting an offer, you affirm that you are at least 18 years old and that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy. If you consign items, you additionally agree to our Consignment Agreement. These documents are incorporated into and form part of every transaction. Your continued use of our sites or services after any update constitutes acceptance of the then-current versions.


Supplemental & Controlling Provisions

The following provisions supplement and, where inconsistent with anything earlier in these Terms, control.

Limitation of liability. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits or data. Our total aggregate liability for all claims will not exceed the greater of (a) the amount we paid you, or net proceeds we owed you, for the specific transaction giving rise to the claim, or (b) one hundred dollars ($100) — except that this cap does NOT apply to physical loss of or damage to consigned items in our custody, which is governed by the Consignment Agreement. Nothing here limits liability that cannot be limited under law, including for our gross negligence, fraud, or willful misconduct, or your non-waivable statutory rights. California Civil Code §1542 is not waived except in a separate signed release.

SMS messaging — "The Toy Showroom Alerts." Our SMS program is "The Toy Showroom Alerts." By opting in (for example, by checking the SMS consent box or texting (909) 870-7095), you consent to recurring automated marketing and transactional text messages at the number provided. Consent is not a condition of any purchase, sale, or consignment. Message and data rates may apply; message frequency varies. Reply STOP to cancel or HELP for help. Carriers are not liable for delayed or undelivered messages.

Eligibility. Our services are intended only for individuals at least 18 years old who can form a binding contract. We do not knowingly transact with, or accept items from, anyone under 18.
